Operating Agreement Through friendly consultation, both parties have reached the following agreement regarding cooperation in the online marketplace: The following terms apply during the cooperation period: I. Responsibilities of Party A 1. Party A shall provide sufficient supplier resources and cooperative products. 2. Party A shall be responsible for security, transportation, relevant business taxes and fees, and logistics costs. Including but not limited to packaging, installation, after-sales service, transportation, and public relations. 3. Party A shall ensure the normal operation of logistics and transportation and be responsible for the safety of goods and personnel. In the event of losses caused by human damage, theft, or destruction of goods, Party A shall bear full responsibility and compensate at the corresponding value. II. Responsibilities of Party B 1. Party B shall bear the cost of purchasing goods and maintain relationships with marketplace buyers. 2. Party B guarantees that they have good personal credit. 3. Party B must process orders within 48 hours. III. Liability for Breach of Contract 1. In special circumstances, both parties shall resolve matters through mutual consultation and agreement. 2. If problems arise due to policies, special circumstances, or poor business operations, Party B shall bear the corresponding responsibility. 3. Both parties shall strictly comply with this agreement. Any breaching party shall bear liability or compensate for losses. 4. This agreement shall take effect from the date it is signed by both parties.
